Terms and Conditions
These Terms and Conditions (“Terms”) constitute a legally binding agreement between Lattice (“Lattice”, “we”, “our”, or “us”) and the PR agency entity (“Agency”, “you”, or “your”) accessing or using the Lattice platform (“Platform”). By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Nature of Services
Lattice provides a technology platform designed to facilitate structured distribution of press releases submitted by authorized PR agencies. Lattice does not function as a publisher, editor, media house, or news organization. Lattice does not create, modify, verify, endorse, or validate any content submitted through the Platform.
2. Restricted Access
Access to the Platform is strictly limited to PR agencies that have been formally onboarded by Lattice. No public registration is permitted. The Agency shall be solely responsible for managing its users, including creation, authorization, and access control.
3. Agency Responsibility
The Agency represents and warrants that:
- All content submitted is accurate, lawful, and authorized for distribution
- It holds all necessary rights, licenses, and approvals
- It shall be solely responsible for all actions performed by its users
Lattice shall not be responsible for reviewing, validating, or verifying the legality, accuracy, or authenticity of any content.
4. Content Approval & Credit Usage
All content submitted by Agency users shall require internal approval by the Agency prior to distribution. Credits shall be deducted only upon such approval and subsequent processing within the Platform.
5. No Guarantee of Outcomes
Lattice does not guarantee, represent, or warrant:
- publication of content by any media outlet
- media pickup, reach, impressions, or visibility
- any measurable outcome or performance metric
All media entities retain full editorial discretion independent of Lattice.
6. Billing and Payment Terms
- Fees are charged on a per-user, per-month basis
- A minimum commitment period of twelve (12) months is mandatory
- All payments must be made 100% in advance
- In limited cases, six (6) months billing may be accepted against a valid Purchase Order explicitly stating agreed terms
Failure to comply with payment terms may result in suspension or termination of access.
7. Credits Policy
- Credits are consumed upon approval and processing of a press release
- Credits are non-refundable and non-transferable
- Unused credits shall not be carried forward unless expressly approved by Lattice management on a case-by-case basis
8. Refund Policy
All payments made to Lattice are strictly non-refundable under any circumstances, including but not limited to non-usage, dissatisfaction, or lack of results.
9. Complaints and Takedown Requests
All complaints, disputes, or takedown requests related to content shall be the sole responsibility of the Agency. Such communications shall be directed to the Agency’s designated administrator. Lattice shall not be obligated to intervene except where required by applicable law.
10. Limitation of Liability
To the maximum extent permitted under applicable law, Lattice shall not be liable for any direct, indirect, incidental, consequential, or special damages, including but not limited to loss of business, revenue, goodwill, or data.
In all circumstances, the total aggregate liability of Lattice shall not exceed the fees paid by the Agency for the current billing cycle.
11. Suspension and Termination
Lattice reserves the right, at its sole discretion, to suspend or terminate access to the Platform in the event of:
- violation of these Terms
- suspected misuse of the Platform
- legal or regulatory risks
No refunds shall be issued upon termination.
12. Service Availability
The Platform is provided on an “as-is” and “as-available” basis. Lattice does not guarantee uninterrupted, timely, secure, or error-free access. Downtime may occur due to maintenance, system failures, or external dependencies.
13. Force Majeure
Lattice shall not be liable for any failure or delay in performance arising from events beyond its reasonable control, including but not limited to natural disasters, acts of government, internet failures, power outages, or cyber incidents.
14. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Nasik.
